Terms of Service for Amply

1. Overview

Amply is a software platform that helps multi-location retail and restaurant chains digitize and manage their store operations, including SOPs, audits, task tracking, and communication. These Terms govern your access to and use of the Services provided by Amply Technologies Pvt. Ltd. ("Amply", "we", "our", or "us").

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use our Services. By using our Services, you represent that you meet these requirements.

3. Use of the Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

4. Account Registration

To access certain features of our Services, you may be required to register an account and provide accurate, complete, and current information. You agree to keep your account information up to date.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, images, graphics, logos, and documentation — are owned by Amply or our licensors and protected by applicable intellectual property laws. You may not use, reproduce, or distribute any content from the Services without our prior written permission.

6. Subscription & Billing

Amply Services may be offered on a subscription basis. All fees are outlined at the time of purchase and are billed in advance. Unless stated otherwise, all fees are non-refundable. Amply reserves the right to modify pricing with notice.

7. SMS Messaging Terms & Conditions

By providing your phone number and verbally consenting during a phone call with an Amply representative, you agree to receive SMS messages from Amply for customer service, operational updates, ticket alerts, audit notifications, promotional offers, or other business-related purposes.

• Opt-Out: You may opt out at any time by replying "STOP" to any message.
• Help: For help, reply "HELP" or contact us at support@getamply.co.
• Message Frequency: Message frequency varies based on your engagement with the platform but will not exceed 10 messages per month.
• Message & Data Rates: Standard message and data rates may apply, depending on your carrier.
• Privacy: Your data is handled in accordance with our Privacy Policy, located at https://www.getamply.co/privacy.
• Limitation of Liability: We are not liable for any delayed or failed delivery of SMS messages.

8. Acceptable Use Policy

You agree not to misuse the Services. This includes but is not limited to:

• Violating any applicable laws or regulations
• Uploading or distributing malicious code
• Engaging in data scraping, mining, or harvesting
• Using the platform for unauthorized marketing or spam

9. Suspension & Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or engage in behavior that harms our platform or users. Upon termination, all licenses granted under these Terms will cease.

10. Disclaimers

Amply provides its Services "as is" and disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Amply shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of data, business interruption, or loss of profits.

12. Indemnification

You agree to indemnify and hold harmless Amply and its affiliates, officers, agents, and employees from any claims, liabilities, damages, and expenses arising out of your use of the Services or your violation of these Terms.

13. Modifications to the Terms

Amply may update these Terms from time to time. Any changes will be effective immediately upon posting. We will notify you of material changes, and your continued use of the Services constitutes your acceptance of the updated Terms.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Services shall be resolved in the courts of Gurgaon, Haryana.
